Which structure suits your business?
Before filing anything, we look at who is investing, how the business will grow and how much compliance you are ready to handle. Many founders in Gurugram come to us asking for a private limited company when a one person company or an LLP would serve them better, and the reverse also happens. The table compares the common options.
| Point | Private limited company | One person company (OPC) | LLP | Proprietorship |
|---|---|---|---|---|
| Minimum owners | 2 shareholders | 1 member plus a nominee | 2 partners | 1 owner |
| Separate legal entity | Yes | Yes | Yes | No |
| Liability | Limited to unpaid share capital | Limited | Limited to agreed contribution | Unlimited |
| Raising equity funding | Easiest | Must convert first | Limited | Not possible |
| Statutory audit | Always required | Always required | Only above prescribed limits | Not under company law |
| Annual ROC filings | AOC-4, MGT-7 or MGT-7A, DIR-3 KYC | AOC-4, MGT-7A | Form 8, Form 11 | None |
| Income-tax rate | Company rates, including optional concessional regime | Company rates | 30% plus surcharge and cess | Individual slab rates |
If an LLP fits better, see our LLP registration page. If you are a foreign promoter, our foreign company set-up page explains the FDI steps.
How company incorporation works on MCA V3
Incorporation is done online on the Ministry of Corporate Affairs V3 portal through the SPICe+ web form (INC-32), which has two parts.
- Name reservation (SPICe+ Part A). We search the MCA database and trademark records, then apply with up to two proposed names and a short note on the business objects. An approved name is reserved for a limited period, within which Part B must be filed.
- Digital signature certificates (DSC). Each proposed director and subscriber needs a Class 3 DSC for signing the forms. We arrange these with video-based verification.
- Director Identification Number (DIN). DIN for up to three proposed directors is applied for within SPICe+ itself. Directors who already hold a DIN use their existing number.
- SPICe+ Part B. Capital structure, registered office, subscribers, directors, and declarations are filled in. Professional certification of the form is done by an associated practising professional.
- e-MOA (INC-33) and e-AOA (INC-34). We draft the main objects in plain, specific language that matches your actual business, so that banks and licensing authorities do not raise questions later.
- AGILE-PRO-S (INC-35). This linked form covers GSTIN where opted, EPFO, ESIC, profession tax where applicable, and opening of the company’s bank account.
- INC-9 declarations and stamp duty. Subscriber and director declarations are generated, and stamp duty is paid online as per the state’s stamp law.
- Certificate of incorporation. The Registrar issues the certificate with the Corporate Identity Number (CIN), PAN and TAN.
Documents required
| For | Documents |
|---|---|
| Each director and shareholder (Indian) | PAN, Aadhaar, passport-size photograph, recent bank statement or utility bill as address proof, mobile number and email |
| Each director and shareholder (foreign) | Passport, address proof, photograph, all notarised and apostilled or consularised |
| Registered office | Recent electricity or water bill, rent agreement if rented, and no-objection certificate from the owner |
| Corporate shareholder | Board resolution, certificate of incorporation and authorised representative’s KYC |
We send the exact checklist on WhatsApp after a short call, so nothing is uploaded twice.
Government fees and our fee
Government fees for name reservation, SPICe+ and the linked forms are charged as per the MCA fee table, and stamp duty on the MOA and AOA is charged as per the stamp law of the state of the registered office. Both rise with authorised capital, which is why we discuss capital before filing. Our professional fee depends on the number of directors, whether foreign subscribers are involved and the post-incorporation work you want us to handle. Our pricing page gives the current packages, or you can ask for a written quote.
After incorporation: the first 180 days
Getting the certificate is only the start. The Companies Act, 2013 sets several early deadlines, and missing them leads to penalties or even strike-off.
| Task | Time limit |
|---|---|
| Open the company’s bank account and receive share subscription money | As early as possible, since INC-20A depends on it |
| Hold the first board meeting | Within 30 days of incorporation |
| Appoint the first auditor by board resolution | Within 30 days of incorporation; ADT-1 filed as required |
| Issue share certificates to subscribers | Within the time allowed under the Act |
| File declaration for commencement of business (INC-20A) | Within 180 days of incorporation |
| Maintain statutory registers and minutes | From incorporation onwards |
| Directors’ DIR-3 KYC | Every year by the due date |
A company that does not file INC-20A in time cannot commence business or borrow, and the Registrar can start action to remove its name. We keep a calendar for each new company and remind you before each date. Ongoing annual filings are covered under our ROC compliance service.
A note on proposed rule changes
In April 2026 the Ministry of Corporate Affairs released draft amendments to the Companies (Incorporation) Rules for public comment. The draft proposes changes such as more DINs through SPICe+, simpler KYC for directors and merged forms for some later changes. These were proposals at the time of writing. We follow the rules as notified on the date of filing and will update this page when final changes take effect.

Frequently asked questions
How many people do I need to form a private limited company?
A private limited company needs at least two directors and at least two shareholders. The same individuals can be both directors and shareholders. At least one director must have stayed in India for the period required under the Companies Act, 2013. A one person company needs only one member, who must be a natural person, plus a nominee.
What is the minimum capital for a private limited company?
There is no minimum paid-up capital requirement now. You choose the authorised and paid-up capital. Government fees and stamp duty depend on the authorised capital, so we usually suggest a figure that suits your present plans and can be increased later.
How long does company registration take?
Once documents and digital signatures are ready, name approval and the incorporation itself usually take a few working days each, depending on the workload at the Central Registration Centre and whether any re-submission is asked for. We share the status with you on WhatsApp at each stage.
Can my residential address in Gurugram be the registered office?
Yes. A residential address can be used as the registered office if you provide a recent utility bill and, where the property is not in your name, a no-objection certificate from the owner. The registered office must be capable of receiving and acknowledging communications.
What are the government fees for incorporation?
Fees for name reservation, SPICe+ and the linked forms are charged as per the MCA fee table, and stamp duty on the MOA and AOA is charged as per the stamp law of the state where the registered office is located. Both depend on the authorised capital. We give you a written estimate before filing.
Do I get PAN and TAN separately?
No. PAN and TAN applications are part of SPICe+, and both are issued along with the certificate of incorporation. The certificate itself carries the company's PAN.
Is GST registration included in SPICe+?
The AGILE-PRO-S form linked to SPICe+ allows you to apply for GSTIN, EPFO, ESIC, profession tax where applicable, and a bank account. We apply for GST through it only if you actually need registration, since a GSTIN brings monthly return filing.
Company banane ke baad kaun se kaam turant karne hote hain?
The board must appoint the first auditor within 30 days, the commencement of business declaration in INC-20A must be filed within 180 days of incorporation, after the subscribers have paid for their shares into the company's bank account, the first board meeting must be held within 30 days, and share certificates must be issued. We give you a dated checklist for all of these.
Should I choose a company or an LLP?
A company is usually better if you plan to raise equity investment, issue ESOPs or bring in many shareholders. An LLP has lighter compliance and no mandatory audit below the prescribed limits. We compare both for your situation before you decide.
Can an NRI or foreign national be a director or shareholder?
Yes. Foreign nationals and NRIs can hold shares and act as directors, subject to FDI rules for the sector, but the company still needs at least one director who meets the resident director condition. Foreign documents must be notarised and apostilled or consularised. See our foreign company set-up page for details.
