What Udyam registration is

Udyam registration is the official identity for micro, small and medium enterprises under the MSMED Act, 2006. It replaced the earlier Udyog Aadhaar system in July 2020. Once registered, an enterprise gets a permanent Udyam Registration Number and an e-certificate. It is used by banks, government buyers, larger customers and government schemes to recognise MSME status. For many traders, manufacturers and service providers in Gurugram, it is also what larger corporate buyers ask for before adding a vendor.

Beware of fake paid Udyam websites

The official Udyam portal is run by the Ministry of Micro, Small and Medium Enterprises and charges no fee for registration. Many private websites use similar names, government-style logos and colours, and charge for filing the same form or for a “renewal” that is not required. Before entering your Aadhaar or paying anything, check the address carefully and confirm it is the government site. If someone asks you to pay to renew your Udyam certificate, treat it with suspicion, because the certificate has no expiry.

MSME classification from 1 April 2025

Classification is based on a composite test of investment in plant and machinery or equipment, and annual turnover. An enterprise falls in a category only if it is within both limits. The government revised the limits with effect from 1 April 2025.

Category Investment in plant and machinery or equipment Annual turnover
Micro Up to Rs 2.5 crore Up to Rs 10 crore
Small Up to Rs 25 crore Up to Rs 100 crore
Medium Up to Rs 125 crore Up to Rs 500 crore

Points to keep in mind:

  • Investment is taken from the written-down value of plant, machinery or equipment as per the income-tax return; land and buildings and certain specified items are excluded.
  • Turnover excludes exports of goods and services and is taken from income-tax and GST data linked to the PAN.
  • All units under one PAN count together. Multiple GSTINs under the same PAN are linked to one Udyam registration.
  • Change in category is applied as per the rules on the portal; an enterprise moving up keeps certain non-tax benefits for a limited period.

Udyam registration process

  1. Eligibility check. We confirm the right type of organisation, the enterprise’s PAN and whether a GSTIN is needed for your activity.
  2. Aadhaar verification. The proprietor, managing partner, karta or authorised signatory verifies Aadhaar by OTP on the official portal.
  3. PAN validation. The PAN of the enterprise is validated, and details such as name and type of organisation are fetched.
  4. Enterprise details. Plants or units, official address, bank details, date of commencement, number of employees and the NIC activity codes are filled in. Choosing the right NIC codes matters, because they decide whether you appear as a manufacturer, service provider or trader.
  5. Investment and turnover. These are fetched from or checked against government data where available, and declared for a new enterprise.
  6. Submission and certificate. After final OTP verification, the Udyam Registration Number is issued and the e-certificate is available for download.
Type of organisation Whose Aadhaar is used PAN required
Proprietorship Proprietor Proprietor’s PAN
Partnership firm Managing partner Firm’s PAN
Hindu Undivided Family Karta HUF PAN
Company, LLP, society or trust Authorised signatory Entity’s PAN

Benefits of Udyam registration

Benefit What it means in practice
Delayed payment protection under the MSMED Act Buyers must pay within the agreed period, not more than 45 days, or 15 days without an agreement. Late payment carries compound interest at three times the bank rate notified by the RBI, and disputes can be taken to the MSME Facilitation Council through the government’s online system
Income-tax rule for buyers Buyers who pay micro and small suppliers late lose the deduction until payment, which encourages timely payment
Priority sector lending Bank loans to MSMEs count as priority sector lending, and many credit schemes need a Udyam number; see our loan services
Government procurement Registered micro and small enterprises get preferences in public procurement under the procurement policy
Schemes and subsidies Central and Haryana state schemes for MSMEs usually require Udyam registration

The 45-day rule under income tax: what has changed

Under section 43B(h) of the Income-tax Act, 1961, introduced from the 2023-24 financial year, any amount a business owes to a registered micro or small enterprise is allowed as a deduction only on actual payment, if it is not paid within the time allowed under section 15 of the MSMED Act. The Income-tax Act, 2025, which came into force on 1 April 2026, carries the same rule forward in section 37(2)(g). Earlier years continue to be dealt with under the 1961 Act.

For suppliers, this is one more reason to register and to show the Udyam number on invoices. For buyers, it means checking the MSME status of each supplier and tracking payment dates; our book-keeping and income tax filing teams handle this tracking and the related reporting.

Udyam Assist for informal micro units

Small units without a PAN or GSTIN, such as street vendors and home-based workers, cannot register on the main Udyam portal. The Udyam Assist Platform lets designated agencies, including banks and NBFCs, register them, and the certificate is treated on par with Udyam registration for priority sector lending. Once the unit obtains a PAN, it can move to regular Udyam registration.

Updating your Udyam certificate

Update your registration on the official portal whenever the following change:

  • Ownership or constitution, such as a proprietorship becoming a partnership firm or company, which normally needs a fresh registration under the new PAN.
  • Business address, additional units or plants.
  • Bank account, mobile number or email.
  • Main activity or NIC codes.

Frequently asked questions

Is Udyam registration free?

Yes. Registration on the official Udyam portal of the Ministry of MSME does not carry any government fee. Several private websites look official and charge for the same form. Always check the web address and never pay a website that claims to be the government portal. If you take a consultant's help, you pay only for their service, as with our professional fee.

What documents are needed for Udyam registration?

Registration is based on self-declaration. You need the Aadhaar of the proprietor, managing partner, karta or authorised signatory, the PAN of the enterprise, and the GSTIN where GST registration is required. Investment and turnover figures are linked with income-tax and GST data, so no certificates or uploads are needed.

What are the current MSME limits?

From 1 April 2025, a micro enterprise has investment in plant and machinery or equipment up to Rs 2.5 crore and turnover up to Rs 10 crore. A small enterprise has investment up to Rs 25 crore and turnover up to Rs 100 crore. A medium enterprise has investment up to Rs 125 crore and turnover up to Rs 500 crore. Both conditions must be met.

Is export turnover counted for classification?

No. Turnover from exports of goods or services is excluded when calculating turnover for MSME classification.

Can a trader get Udyam registration?

Yes. Retail and wholesale traders can register on the Udyam portal. For trading enterprises, the registration is generally used for priority sector lending, and not every MSME scheme or benefit extends to traders, so check the specific scheme before relying on it.

Does Udyam registration need renewal?

No. The certificate does not expire. However, you should update your details on the portal when there is a change, such as in ownership, address, bank account or activity. Classification is updated based on the income-tax and GST data available for the enterprise.

What is the 45-day payment rule in income tax?

If a business buys goods or services from a registered micro or small enterprise and does not pay within the time allowed under section 15 of the MSMED Act, the amount is not deductible in that year and is allowed only in the year of actual payment. The time limit is 15 days where there is no written agreement and up to 45 days where there is one. This rule was in section 43B(h) of the Income-tax Act, 1961 and continues in section 37(2)(g) of the Income-tax Act, 2025 from tax year 2026-27.

Does the 45-day rule apply to traders and medium enterprises?

The rule protects suppliers that are micro or small enterprises. The government has clarified that payments to suppliers registered only as traders are not covered for this purpose, and medium enterprises are outside its scope.

Udyam registration ke baad loan milna aasaan hota hai kya?

It helps. Banks treat MSME loans as priority sector lending, and many government credit schemes require a Udyam number. Approval still depends on your accounts, credit history and the bank's assessment. Our loan services team can help prepare the file.

What is Udyam Assist?

Udyam Assist is a separate platform for informal micro enterprises that do not have the documents needed for regular Udyam registration, such as a PAN or GSTIN. Registration there is facilitated by designated agencies like banks and NBFCs, and the certificate is treated as Udyam registration for priority sector lending.
